वेबसाइट डिज़ाइन, डेवलपमेंट और सेवा अनुबंध
यह Agreement दिनांक को निम्नलिखित दो पक्षों के बीच किया गया है —
पहला पक्ष — Client
, व्यवसाय , पता , जिनकी ओर से () हस्ताक्षर कर रहे हैं (आगे "Client")।
दूसरा पक्ष — Aivo
AIVO — भारत सरकार के Udyam (MSME) के अंतर्गत पंजीकृत एक सेवा उद्यम, Udyam Registration No. UDYAM-BR-14-0030230, कार्यालय Patna, Bihar, PAN HTBPR6212Q — जिसकी ओर से इसके Founder, श्री पीयूष राज हस्ताक्षर कर रहे हैं (आगे "Aivo")।

दोनों पक्ष निम्नलिखित शर्तों पर सहमत हैं।
1. काम का दायरा (SCOPE)
Aivo, Client के व्यवसाय के लिए एक professional website बनाकर live करेगा। इसमें शामिल है —

| Payment gateway | आवश्यकता होने पर integration (gateway account Client के नाम पर होगा) |
इन में से किसी भी वस्तु के लिए अलग से कोई शुल्क नहीं लिया जाएगा।
Search ranking की guarantee नहीं दी जा सकती — ranking search engines तय करते हैं। Aivo की ज़िम्मेदारी SEO का पूरा technical काम सही ढंग से करने तक सीमित है।
2. कीमत (PRICE)
- इस Agreement के अंतर्गत website की कुल कीमत ₹ है (शब्दों में: )।
- यह एक बार की कीमत है। ऊपर तालिका में लिखी हर वस्तु इसी में शामिल है। कोई hidden charge नहीं।
- यदि आगे चलकर Client कोई अतिरिक्त सुविधा चाहे, तो उसकी कीमत अलग से, लिखित सहमति से तय होगी —

3. PAYMENT — तीन हिस्सों में
पूरी रक़म एक साथ नहीं ली जाएगी। हर हिस्सा तभी देय है जब Client उस step से संतुष्ट हो —

कोई add-on लेने पर कुल रक़म बदलेगी — हिस्से वही रहेंगे: 10% · 40% · 50%।
4. काम का क्रम और समय (TIMELINE)
- 10% advance मिलते ही Aivo, Client का व्यवसाय समझकर 2–3 अलग-अलग design layout बनाकर दिखाएगा।
- Client जो design पसंद करें वह WhatsApp पर बता दें। तब 40% payment के बाद, Client से बात करते हुए domain ख़रीदकर उन्हीं के नाम पर register किया जाएगा।
- चुने हुए design पर पूरी website बनाई जाएगी।
- बाकी 50% मिलने के 10–15 मिनट के अंदर website उसी domain पर live कर दी जाएगी, और पूरा code, transfer code व सारी details उसी दिन Client को सौंप दी जाएँगी।
समय-सीमा: Client से पूरा ज़रूरी content (text, photos, logo, business की जानकारी) मिलने के 7 कार्य-दिवसों के अंदर website तैयार करके live करने योग्य कर दी जाएगी। यदि Aivo की ओर से इस समय-सीमा का पालन नहीं होता, तो website का कोई शुल्क नहीं लिया जाएगा और प्राप्त रक़म पूरी वापस कर दी जाएगी।
यह समय-सीमा तभी लागू है जब content समय पर मिल जाए। Content देना Client की ज़िम्मेदारी है — content देर से मिलने पर समय-सीमा उतनी ही आगे बढ़ेगी, और उतने दिन इस guarantee में नहीं गिने जाएँगे।
5. बदलाव (REVISIONS)
- चुने हुए design के अंदर जितने बदलाव चाहिए, उतने किए जाएँगे — तब तक, जब तक Client पूरी तरह संतुष्ट न हो जाएँ। बदलाव की कोई गिनती नहीं, कोई अतिरिक्त शुल्क नहीं।
- यह ज़िम्मेदारी domain ख़रीदने के बाद भी वैसी ही बनी रहती है, और website live होने के बाद भी।
- Design approve हो जाने के बाद पूरी तरह नया concept, नए pages या नए features माँगे जाने पर वह नया काम माना जाएगा, जिसकी कीमत लिखित सहमति से अलग तय होगी।
6. REFUND — पैसा वापसी
- Design पसंद न आने पर Client का पूरा advance 100% वापस — बिना किसी बहस के।
- यह refund domain ख़रीदे जाने तक उपलब्ध है। उसके बाद refund नहीं, क्योंकि domain Client के ही नाम पर ख़रीदा जा चुका होता है और उसमें वास्तविक धन ख़र्च हो चुका होता है — लेकिन काम वहीं समाप्त नहीं होता: बदलाव उसके बाद भी तब तक किए जाते हैं जब तक Client पूरी तरह संतुष्ट न हो जाएँ। यह ज़िम्मेदारी हमेशा Aivo की है।
- Refund उसी माध्यम से किया जाएगा जिससे payment प्राप्त हुआ था, अनुरोध के 7 कार्य-दिवसों के अंदर।
- यदि किसी design को अस्वीकार कर refund लिया जाता है, तो उस design व code का स्वामित्व Aivo के पास रहेगा।
7. स्वामित्व और DOMAIN (OWNERSHIP)
- Domain शुरू से Client के ही नाम पर register होता है — record में क़ानूनी मालिक Client ही हैं। Aivo उसे केवल technical देखरेख के लिए manage करता है।
- पूरा payment होने पर website का पूरा code — design, code, content — Client को सौंप दिया जाएगा और वह पूर्णतः Client की संपत्ति होगी।
- साथ ही domain का transfer code (authorization code) भी सौंपा जाएगा, जिससे Client जब चाहें domain अपने किसी भी account में ले जा सकते हैं। यह किसी भी समय, कोई बकाया न होने पर, 15 दिनों के अंदर, निःशुल्क।
- पूरा payment होने तक website Aivo की संपत्ति रहेगी।
- Aivo पूरी हो चुकी website को अपने portfolio में दिखा सकता है। Client लिखकर मना करें तो हटा दी जाएगी।
8. RENEWAL और SUPPORT
- Website live होने के बाद 1 वर्ष तक free bug-fix service — website में कोई भी bug आए तो ठीक करना पूर्णतः निःशुल्क।
- दूसरे वर्ष से renewal ₹2,000 प्रति वर्ष (domain + hosting) — इसी में bug-fix की पूरी ज़िम्मेदारी शामिल।
- Professional email चालू रखना चाहें तो + ₹2,000 प्रति वर्ष (यानी दोनों साथ ₹4,000 प्रति वर्ष)। पहले वर्ष दोनों शामिल हैं।
- Renewal न होने पर website offline हो जाएगी — उससे पहले Client को सूचना दी जाएगी।
9. CLIENT की ज़िम्मेदारी
- Website का content — text, photos, business की जानकारी, दावे — देना Client की ज़िम्मेदारी है। Content जितनी जल्दी मिलेगा, website उतनी जल्दी बनेगी।
- Content की क़ानूनी ज़िम्मेदारी Client की है। Client यह पुष्टि करते हैं कि दी गई सामग्री पर उनका अधिकार है और वह किसी का copyright या trademark नहीं तोड़ती।
- Payment gateway लेने पर उसका account, KYC और उससे जुड़ी सभी क़ानूनी व कर-सम्बन्धी ज़िम्मेदारियाँ Client की होंगी।
10. सामान्य शर्तें (GENERAL)
- Confidentiality: दोनों पक्ष एक-दूसरे की व्यावसायिक जानकारी गोपनीय रखेंगे।
- ज़िम्मेदारी की सीमा: इस Agreement के अंतर्गत Aivo की कुल क़ानूनी ज़िम्मेदारी, इस website के लिए प्राप्त कुल रक़म तक सीमित रहेगी। अप्रत्यक्ष हानि (जैसे व्यापार में कमी) की ज़िम्मेदारी किसी पक्ष की नहीं होगी।
- तीसरे पक्ष की सेवाएँ: domain registrar, hosting, email और payment gateway तीसरे पक्ष की सेवाएँ हैं। उनकी उपलब्धता पर Aivo का नियंत्रण नहीं है, परन्तु समस्या आने पर समाधान में Aivo पूरा सहयोग करेगा।
- कोई उत्तर न मिलना: build या revision के दौरान बार-बार याद दिलाने पर भी 30 दिनों तक कोई उत्तर न मिलने पर website उसी स्थिति में delivered मानी जाएगी और शेष payment देय होगा।
- बदलाव: इन शर्तों में कोई भी बदलाव दोनों की लिखित सहमति (WhatsApp या email) से ही मान्य होगा।
- क़ानून: यह Agreement भारत के क़ानून के अनुसार चलेगा। किसी भी विवाद में क्षेत्राधिकार Patna, Bihar की अदालतों का होगा।
हस्ताक्षर (SIGNATURES)
दोनों पक्षों ने यह Agreement पढ़ लिया, समझ लिया और स्वीकार किया है।

Website Design, Development & Service Agreement
This Agreement is made on between —
FIRST PARTY — Client
, carrying on business as , at , signing through () (the "Client").
SECOND PARTY — Aivo
AIVO — a service enterprise registered under the Government of India Udyam (MSME) scheme, Udyam Registration No. UDYAM-BR-14-0030230, office at Patna, Bihar, PAN HTBPR6212Q — acting through its Founder, Mr. Piyush Raj ("Aivo").

Both parties agree to the following terms.
1. SCOPE OF WORK
Aivo will design, build and launch a professional website for the Client's business, including —

No separate charge is made for any of the above.
Search rankings cannot be guaranteed — they are decided by search engines. Aivo's responsibility is limited to carrying out the technical SEO work correctly.
2. PRICE
- The total price under this Agreement is ₹ (in words: ).
- This is a one-time price. Everything listed above is included. No hidden charges.
- Any additional feature requested later will be priced separately by written agreement —

3. PAYMENT — IN THREE PARTS
The full amount is never taken at once. Each part falls due only when the Client is satisfied with that step —

If any add-on is taken the total changes — the proportions stay the same: 10% · 40% · 50%.
4. SEQUENCE AND TIMELINE
- On receipt of the 10% advance, Aivo studies the Client's business and presents 2–3 different design layouts.
- The Client confirms the chosen design on WhatsApp. After the 40% payment, the domain is purchased in consultation with the Client and registered in the Client's own name.
- The full website is built on the selected design.
- Within 10–15 minutes of the remaining 50% being received, the website is connected to that domain and made live; the full code, the transfer code and all details are handed over to the Client the same day.
Timeline: the website will be completed and ready to go live within 7 working days of receiving all required content (text, photos, logo, business details) from the Client. If Aivo fails to meet this timeline, no fee will be charged for the website and any amount received will be refunded in full.
This timeline applies only where content is supplied on time. Supplying content is the Client's responsibility — the timeline extends by the period of any delay, and those days do not count towards this guarantee.
5. REVISIONS
- Within the selected design, as many changes as the Client wants will be made — until the Client is completely satisfied. No count, no extra charge.
- This responsibility continues after the domain has been purchased, and after the website goes live.
- Once a design is approved, a completely new concept, new pages or new features constitute new work, priced separately by written agreement.
6. REFUND
- If the Client does not like the designs, the entire advance is refunded — 100%, without argument.
- This refund is available until the domain is purchased. After that no refund is payable, because the domain has by then been bought in the Client's own name and real money has been spent — but the work does not stop there: changes continue to be made until the Client is completely satisfied. That responsibility always remains Aivo's.
- Refunds are made by the same channel the payment was received through, within 7 working days of the request.
- Where a design is rejected and a refund taken, ownership of that design and code remains with Aivo.
7. OWNERSHIP AND DOMAIN
- The domain is registered in the Client's own name from the outset — the Client is the legal owner on record. Aivo manages it only for technical upkeep.
- On full payment, the complete website code — design, code and content — is handed over and becomes the Client's property absolutely.
- The domain transfer (authorization) code is handed over with it, so the Client may move the domain to any account at any time. This is provided free, within 15 days of any request, where no payment is outstanding.
- Until full payment is received, the website remains Aivo's property.
- Aivo may display completed work in its portfolio; it will be removed if the Client asks in writing.
8. RENEWAL AND SUPPORT
- One year of free bug-fix service from the date the website goes live — any bug is fixed at no cost.
- From the second year, renewal is ₹2,000 per year (domain + hosting), which includes continued responsibility for bug fixes.
- Professional email, if continued, is + ₹2,000 per year (₹4,000 per year for both). Both are included in the first year.
- If renewal is not paid the website goes offline; the Client will be given notice beforehand.
9. CLIENT'S RESPONSIBILITIES
- Supplying website content — text, photos, business details and claims — is the Client's responsibility. The sooner content arrives, the sooner the website is built.
- Legal responsibility for that content rests with the Client, who confirms it is theirs to use and infringes no copyright or trademark.
- Where a payment gateway is taken, its account, KYC and all related legal and tax obligations are the Client's.
10. GENERAL
- Confidentiality: each party will keep the other's business information confidential.
- Limitation of liability: Aivo's total liability under this Agreement is limited to the amount received for the website. Neither party is liable for indirect losses such as loss of business.
- Third-party services: the domain registrar, hosting, email and payment gateway are third-party services outside Aivo's control; Aivo will assist fully in resolving any issue with them.
- No response: if, during the build or revisions, there is no response for 30 days despite reminders, the website is deemed delivered in its then state and the balance becomes payable.
- Changes: any change to these terms is valid only by the written agreement of both parties (WhatsApp or email).
- Governing law: this Agreement is governed by the laws of India, and the courts at Patna, Bihar have jurisdiction.
